This Account Billing Service Agreement (this "Agreement") is between Access To Power Inc., a California corporation doing business as Access Electric ("Access Electric," "we," "our," or "us"), located at 1990 Foundry Ct., Ceres, CA 95307, and the account holder ("Account," "you," or "your") identified in the electronic signature block below.
The billing and submetering services described in this Agreement are provided through Submetra, the submetering and utility billing platform owned and operated by Access Electric (the "Platform"). Submetra is a product and service of Access Electric, not a separate legal entity.
This Agreement supplements — and does not replace — the general Terms of Service, which continue to apply. Where this Agreement and the Terms of Service conflict on a topic specific to billing, this Agreement controls.
By clicking "I agree" during Account setup and providing an authorized signer's typed name and title, you enter into this Agreement.
1. The service
Access Electric grants you access to the Submetra Platform for the purpose of configuring rate plans, defining billing periods, and generating invoices addressed to your tenants, subtenants, internal loads, or common areas (each a "Bill-to") based on usage measured by compatible submetering equipment installed at your facility and retrieved through supported third-party metering systems and data providers.
This service is provided by Access Electric as a convenience. Unless a separate written commercial agreement between you and Access Electric expressly provides otherwise, this service is provided at no charge.
The Platform currently supports electricity submetering and may support additional metered utilities or services as those integrations become available. Submetra is primarily provided through submetra.com, its subdomains, and other domains or services designated by Access Electric from time to time. All Platform activity — invoice generation, portal access by your Bill-tos, invoice email delivery (where enabled), and any notice sent from the Platform — occurs at, or is sent from, Submetra-controlled domains and addresses designated by Access Electric.
2. Platform ownership and third-party integrations
Submetra is independently owned and operated by Access Electric. The Submetra name, logo, and all branding, page designs, and other marks appearing on the Platform (excluding your own logo and business content that you upload to your Account under Section 3.f below) are the property of Access Electric or its licensors and are protected by these terms and by applicable trademark and copyright law. All Platform activity is the activity of Access To Power Inc. dba Access Electric, and is governed by the Terms of Service and by this Agreement.
The Platform integrates with third-party metering hardware, APIs, software, and data services to obtain meter readings. These currently include certain EKM Metering systems and the EKM Push API. EKM Metering, Inc. is a separate company; it does not own or operate Submetra and does not sponsor or endorse it. Compatibility or integration with EKM Metering products — or with any other third-party system — does not imply any affiliation, sponsorship, partnership, endorsement, agency, or joint venture between Access Electric and that third party. "EKM," "EKM Metering," and other third-party names and marks are the property of their respective owners.
You acknowledge and agree that:
- The Submetra name and logo, all Submetra-controlled domains and subdomains, and all branding, logos, page designs, and other marks appearing on the Platform (excluding your own logo and business content that you upload to your Account under Section 3.f below) are the property of Access Electric or its licensors and are protected by these terms and by applicable trademark and copyright law;
- You will not register, use, or attempt to register any domain name, subdomain, email address, social-media handle, or brand that is identical to or confusingly similar to submetra.com or to any Access Electric or Submetra mark;
- You will not send any invoice, notice, or other communication that purports to originate from Access Electric, Submetra, or a Submetra-controlled domain and does not in fact originate from Access Electric;
- Your Bill-tos will interact with the Platform through the Submetra portal, and you will not represent to any Bill-to that the Platform operates at any address other than one designated by Access Electric.
Section 2 of the Terms of Service ("Platform ownership and third-party integrations") is incorporated into this Agreement by reference.
3. Your responsibilities
This is the most important section of this Agreement. Read it before signing.
You acknowledge and agree that you are solely responsible for all of the following, and that Access Electric expressly disclaims responsibility for all of the following. If any of these are wrong, the resulting bill will be wrong, and that is your responsibility — not Access Electric's.
a. Meter identification and assignment
You are responsible for correctly identifying which physical meter in your facility serves which Bill-to, unit, load, or common area, and for recording that assignment correctly in the Platform. If you assign a meter to Unit B when it is actually wired to Unit A, every invoice produced from that assignment will be wrong. Access Electric does not independently verify meter-to-unit assignments.
b. Meter configuration on the metering provider's side
You are responsible for the correctness of all meter configuration made in your metering provider's account or on the physical meter, including but not limited to:
- Current-transformer (CT) ratio
- Multiplier
- Phase wiring
- Timezone
- Meter naming
- Enable/disable state
The Platform ingests whatever the metering provider reports. If the meter reports readings scaled by the wrong CT ratio, the Platform will bill using those wrong readings.
c. Rate plan setup
You are responsible for every choice you make about how the Platform calculates charges, including:
- Which pricing model to use (flat, tiered, or time-of-use);
- The per-unit rate itself (for example, dollars per kilowatt-hour);
- Tier band boundaries and per-tier rates;
- Time-of-use window start times, end times, days-of-week, and season (Summer / Winter) definitions;
- Fixed daily or monthly service charges;
- Demand charges (for example, dollars per kilowatt) and how peak demand is calculated;
- Effective-from and effective-to dates on rate plan versions;
- Whether the rate you configured matches the tariff, contract, or regulatory scheme you are legally or contractually required to charge (for example, PG&E B-6, PG&E E-19, or any applicable state Public Utilities Commission rules governing submetering passthrough).
Access Electric does not review, verify, endorse, certify, or approve your rate plan configuration. The Platform provides tools to configure a rate. It does not certify that any rate you configure matches any external tariff, utility bill, or legal requirement.
d. Billing period configuration
You are responsible for:
- Whether you choose the automatic or manual billing period method for each property;
- If automatic, the cycle-start day (1–31) you enter;
- If manual, the start and end dates of each period;
- Whether a billing period exists for a given month;
- Whether meter readings exist for the period, and whether they cover it fully.
If you never open a billing period, no invoice will be generated. If you open a period that does not match the range you intended to bill, the invoice will not match the range you intended to bill.
e. Bill-to relationships
You are responsible for:
- The identity of each Bill-to (whether a natural person tenant, an internal load like a pump or common area, or another entity);
- The Bill-to's contact information, remit-to address, and move-in and move-out dates as recorded in the Platform;
- Any dispute between you and a Bill-to, including disputes about the amount billed.
Access Electric is not a party to any lease, service agreement, or other arrangement between you and a Bill-to.
f. Invoice content you control
The Platform copies onto each invoice the following content that you control:
- Your business name and mailing address;
- Your uploaded logo, if any;
- Your remit-to address;
- Your payment instructions (for example, ACH details, check-to address, online payment portal link, or telephone number).
You are responsible for the accuracy of all of the above. If you leave payment instructions blank or containing placeholder text, no payment routing to you is possible, and that is your responsibility. Access Electric does not draft, verify, or endorse the payment instructions you provide, and Access Electric never invents payment details on your behalf.
Your content described in this Section 3.f appears on invoices alongside Submetra's own Platform branding (which may include a Submetra-controlled domain, the Submetra name or logo, and Platform UI elements). That coexistence does not mean Access Electric endorses, verifies, or is responsible for your content, and does not grant either party any license to the other's branding beyond what is strictly necessary for the invoice to render.
g. Delivery of invoices
You are responsible for whether an invoice generated by the Platform is actually transmitted to the Bill-to — whether via the Platform's optional email integration, printed and mailed, delivered by hand, made available through the Submetra portal, or otherwise — and whether the Bill-to receives, opens, understands, or pays it.
Where the Platform's optional email integration is enabled, invoice emails will be sent from an address on a Submetra-controlled domain or another address designated by Access Electric. You acknowledge that your Bill-tos will therefore receive email from that address, and you will not represent to any Bill-to that invoices originate from any other source. Bill-to access to the Platform (the Submetra portal) occurs at an address designated by Access Electric; you will direct your Bill-tos to that address and not to any other.
h. Regulatory compliance
You are responsible for determining whether your submetering arrangement is lawful in your jurisdiction, and for complying with all applicable laws. This includes, without limitation:
- Whether resale of electricity or another utility to a tenant is permitted in your state;
- Whether disclosures required by state law (for example, the calculation methodology, the tenant's right to see raw data, or access to the underlying utility bill) are being made;
- Whether you hold any license or permit required to bill for the applicable utility in your jurisdiction;
- Whether the amounts you charge comply with any applicable rent-control, utility-passthrough, or consumer-protection statute.
Access Electric does not advise you on regulatory compliance and does not represent that use of the Platform, alone, satisfies any regulatory obligation.
i. Tax treatment
You are responsible for determining whether sales tax, gross-receipts tax, utility tax, or any other tax applies to the amounts you charge, and for collecting and remitting any such tax. The Platform does not compute tax except where you explicitly configure a tax line item.
j. Data entry generally
You are responsible for the accuracy of every value you enter into the Platform: every name, address, date, dollar amount, meter serial, unit label, tier boundary, TOU window, and every other field. The Platform provides validation where practical, but validation is a convenience, not a substitute for your review of your own configuration.
4. What Access Electric does
- Operates the Submetra Platform.
- Operates the ingest pipeline that pulls meter readings from supported third-party metering systems and data providers (currently including EKM Metering's Push API) into the Platform database, on a best-effort basis subject to those providers' availability.
- Provides the tools described in the Platform documentation and the in-app help system.
- Enforces per-Account data isolation so that Accounts cannot see or modify each other's data.
- Preserves an audit log of invoice lifecycle events (draft, issue, void, regenerate) via the underlying database's native revision history.
5. What Access Electric does not do
For clarity, and without limiting Section 3:
- Access Electric does not review your rate plans before you use them to generate invoices;
- Access Electric does not confirm that any rate you configure matches any real-world tariff (PG&E, SCE, SDG&E, ConEd, or any other);
- Access Electric does not confirm that any meter is physically wired correctly at your facility;
- Access Electric does not confirm that any Bill-to is the correct Bill-to for a given meter;
- Access Electric does not collect, hold, escrow, or route payment on your behalf;
- Access Electric does not file utility, tax, or regulatory paperwork on your behalf;
- Access Electric does not provide legal, tax, accounting, or regulatory advice.
6. Invoice review before issue
You acknowledge that each invoice produced by the Platform passes through a draft status before it may be issued. You may review the draft, regenerate it, or discard it. Once you click "Issue," the invoice is presumed reviewed by you. Voiding an issued invoice is possible and leaves an audit-log record; the Platform does not permit silently overwriting an issued invoice.
7. Relationship to any hardware installation agreement
You may have separately engaged Access Electric to sell and install metering hardware at your facility under a separate written agreement. That hardware relationship is a separate matter and is not modified, extended, or replaced by this Agreement. Nothing in this Agreement:
- Creates any warranty on any metering hardware or on Access Electric's installation of it;
- Extends the duration of any obligation under that separate hardware agreement;
- Transfers ownership of any hardware to or from you;
- Creates any warranty on the Platform itself.
8. Term and termination
- Term. This Agreement begins on the date you accept it and continues on a month-to-month basis until terminated.
- Termination for convenience. Either party may terminate this Agreement at any time, with or without cause, on written notice.
- Termination for cause. Access Electric may terminate this Agreement immediately on written notice if you materially breach it, including without limitation any breach of Section 3 of this Agreement or Section 5 of the general Terms of Service (acceptable use).
- Data export on termination. On termination, Access Electric will, where practical, provide you a reasonable opportunity to export your data (invoices, meter intervals, rate history) before deletion.
- Access after termination. On termination, your right to access the Platform ends. Sections 2, 9, 10, 11, and 12 of this Agreement survive termination.
9. Confidentiality and data handling
- Access Electric will not share your data with any third party except: (a) the third-party metering and data providers with which the Platform integrates (currently including EKM Metering, Inc.), to retrieve your meter readings; (b) our hosting and DNS providers, which process network traffic to reach Submetra-controlled domains; (c) if you enable the optional invoice-email feature, the transactional email provider we use for delivery, which will receive the To, From, subject, and body of each such email; and (d) as required by law or valid legal process.
- The Platform database is operated on infrastructure controlled by Access Electric. Access Electric does not sell your data.
- Access Electric may access your data as necessary to operate, support, and improve the Platform, to enforce this Agreement, or to comply with law.
10. Disclaimer of warranties
Section 11 of the Terms of Service ("Disclaimer of warranties") is incorporated into this Agreement by reference and applies to the Platform's billing functionality with equal force.
Without limiting that section: Access Electric makes no warranty that any invoice produced by the Platform is accurate, complete, lawful, or enforceable against any Bill-to. The Platform is a tool. Its output is your responsibility.
11. Limitation of liability
Section 12 of the Terms of Service ("Limitation of liability") is incorporated into this Agreement by reference. Because this service is provided at no charge to you, and no fees have been paid or become payable, Access Electric's total cumulative liability to you, from any and all claims arising out of or related to this Agreement or the Platform, shall not exceed zero dollars ($0.00).
12. Indemnification
You agree to defend, indemnify, and hold harmless Access Electric, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) brought by any third party, including any Bill-to, tenant, subtenant, utility, taxing authority, or regulator, and arising out of or related to:
- Amounts you have billed through the Platform;
- The methods or configurations by which you calculated those amounts;
- Meter identification, assignment, or configuration on your side;
- Your compliance or non-compliance with any law, regulation, tariff, or contract governing your billing practices;
- Any content you provided that was copied onto an invoice (business name, address, logo, payment instructions);
- Any statement you made to a Bill-to about the Platform, Submetra, or Access Electric;
- Your breach of this Agreement or the Terms of Service.
This indemnification obligation survives termination of this Agreement.
13. Governing law and venue
This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising under this Agreement shall be brought exclusively in the state or federal courts located in Stanislaus County, California, and each party consents to the personal jurisdiction of those courts.
14. Miscellaneous
- Entire agreement. This Agreement, together with the Terms of Service and any separately signed hardware installation agreement between you and Access Electric, constitutes the entire agreement between the parties with respect to the Platform.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
- No waiver. A party's failure to enforce any provision is not a waiver of that provision.
- Assignment. You may not assign this Agreement without our written consent. We may assign this Agreement freely, including to a successor in connection with a merger, acquisition, or sale of substantially all of our assets.
- Notices. Notices to Access Electric must be sent in writing to the address in Section 15. Notices to you may be sent to the email or physical address on file for your Account.
- Electronic signature. You acknowledge that clicking "I agree" on a Submetra-controlled page designated by Access Electric and typing an authorized signer's name and title, together with the IP address, user-agent, and UTC timestamp captured by the Platform at the moment of acceptance, constitutes an electronic signature having the same legal effect as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and the California Uniform Electronic Transactions Act.
