These Terms of Service ("Terms") govern your access to and use of Submetra, a submetering and utility billing platform (the "Platform") owned and operated by Access To Power Inc., a California corporation doing business as Access Electric ("Access Electric," "we," "our," or "us"), located at 1990 Foundry Ct., Ceres, CA 95307.

Submetra is a product and service of Access Electric. It is not a separate legal entity.

By accessing the Platform, creating an account, or clicking "I agree" during account setup, you agree to be bound by these Terms. If you do not agree, do not use the Platform.


1. Who we are and what the Platform does

Access Electric is an electrical contractor. Submetra is its submetering and utility billing platform: a web-based service that lets the owner of a metered facility (the "Account") measure usage from compatible submetering equipment and data services, configure rate plans and billing periods, and generate invoices addressed to their tenants, subtenants, or internal loads (each a "Bill-to").

The Platform:

  • Retrieves meter readings from supported third-party metering systems and data providers (currently including EKM Metering hardware via the EKM Push API);
  • Stores those readings in a database we maintain;
  • Provides tools for the Account to configure rate plans and billing periods and to generate invoices addressed to its Bill-tos.

The Platform currently supports electricity submetering. It may support additional metered utilities or services — such as water, gas, or electric-vehicle charging — as those integrations become available. Nothing in these Terms is a representation that any particular utility type, meter manufacturer, or data provider is supported today except to the extent the Platform actually provides that capability.

The Platform is provided as a convenience service. Unless a separate written agreement between you and Access Electric says otherwise, use of the Platform is provided at no charge to the Account.

Submetra is primarily provided through submetra.com, its subdomains, and other domains or services designated by Access Electric from time to time. Access Electric also owns the legacy domain ekmbilling.com, which redirects to submetra.com; that legacy domain is not a separate product.

2. Platform ownership and third-party integrations

Submetra is independently owned and operated by Access Electric. The Submetra name, logo, and all branding, page designs, and other marks appearing on the Platform (excluding content you upload to your Account) are the property of Access Electric or its licensors, and are protected by these Terms and by applicable trademark and copyright law. Nothing in these Terms grants you any license or right to use any Access Electric or Submetra mark except as strictly necessary to use the Platform for its intended purpose.

The Platform integrates with third-party metering hardware, APIs, software, and data services in order to obtain meter readings. These currently include certain EKM Metering systems and the EKM Push API. EKM Metering, Inc. is a separate company. EKM Metering does not own or operate Submetra and does not sponsor or endorse it. Compatibility or integration with EKM Metering products — or with any other third-party system — does not imply any affiliation, sponsorship, partnership, endorsement, agency, or joint venture between Access Electric and that third party. "EKM," "EKM Metering," and other third-party names and marks are the property of their respective owners and are used only to identify the systems with which the Platform integrates.

You agree not to:

  • Register, use, or attempt to register any domain name, subdomain, email address, social-media handle, or brand that is identical to or confusingly similar to submetra.com or to any Access Electric or Submetra mark;
  • Send any email, invoice, notice, or other communication that purports to originate from Access Electric, Submetra, or a Submetra-controlled domain and does not in fact originate from Access Electric;
  • Copy, mirror, or re-host the Platform user interface or its branded elements on any other domain;
  • Scrape, harvest, or bulk-extract data from the Platform by automated means except through its own documented interfaces.

3. What the Platform is not

To avoid confusion, the following is a non-exhaustive list of things the Platform is not, and things Access Electric is not by operating it:

  • Access Electric is not the seller, provider, or utility of record for the electricity or other utility billed through the Platform. The Account is the party charging its Bill-tos; Access Electric merely provides the software that computes the invoice.
  • Access Electric is not a payment processor. The Platform does not accept, hold, route, escrow, or process funds. Payment of any invoice produced by the Platform is a matter strictly between the Account and its Bill-to.
  • Access Electric is not a party to the underlying lease, service agreement, or other relationship between an Account and its Bill-tos.
  • Access Electric is not the manufacturer, vendor, or distributor of the metering hardware whose readings are ingested by the Platform. The applicable hardware manufacturer or data provider (currently EKM Metering, Inc.) is a separate company; the Platform consumes its data through a supported integration.
  • The Platform is not a substitute for utility-of-record billing where local, state, or federal law requires the utility provider itself to bill an end user.
  • The Platform is not a tax, accounting, legal, or regulatory compliance product.

4. Your account

You are responsible for:

  • Providing accurate information when creating and maintaining your account;
  • Keeping your password confidential;
  • All activity that occurs under your session, whether or not authorized by you.

You must notify us promptly if you become aware of any unauthorized use of your account. Access Electric is not liable for losses caused by unauthorized use of your credentials.

5. Acceptable use

You agree not to:

  • Attempt to access data belonging to any account other than your own;
  • Scrape, copy, or extract Bill-to data you do not own;
  • Reverse engineer, disassemble, or attempt to derive the source code of the Platform;
  • Use the Platform to bill any charge for anything other than lawful submetering, utility allocation, billing, reporting, and related purposes supported by Submetra;
  • Use the Platform in violation of any applicable law, including any state submetering, tenant-protection, or utility regulation;
  • Introduce malware, exploit vulnerabilities, or attempt to disrupt Platform availability for other users;
  • Impersonate Access Electric, Submetra, or any Submetra-controlled domain in any communication with any Bill-to or third party (see also Section 2).

Violation of this section is grounds for immediate suspension or termination.

6. Data ownership

  • Account data. The Account owns the meter data, rate configurations, and invoices generated for its facility. Access Electric stores and processes that data solely to operate the Platform for that Account and to comply with its own legal obligations.
  • Bill-to data. A Bill-to owns its own contact information. A Bill-to may request a copy of the invoices addressed to it through the Submetra portal.
  • Aggregate and anonymous data. Access Electric may compile aggregate, de-identified statistics about Platform usage (for example, total units of usage ingested, number of active meters) for the purpose of operating and improving the Platform. Such statistics do not identify any Account or Bill-to.

7. Third-Party Metering and Data Services

The Platform depends on third-party metering systems and data providers to retrieve meter readings. These currently include EKM Metering hardware and the EKM Push API, and may include additional providers as integrations become available. Access Electric is not responsible for, and disclaims all liability arising from, matters outside its control on any such third-party system, including without limitation:

  • Outages, service interruptions, latency, or gaps in a third-party API or service;
  • Delayed, missing, duplicate, inaccurate, or otherwise erroneous readings;
  • Errors in data reported by a third-party provider;
  • Changes to, deprecation of, or discontinuation of a third-party API or service that affect Platform behavior;
  • Authentication, communications, or connectivity failures between the Platform and a third-party system;
  • Meter hardware failures; and
  • Configuration of meters on the third-party side, including current-transformer (CT) ratio, multiplier, phase wiring, timezone, meter naming, and enable/disable state (these are set in the third-party provider's systems, not ours).

The Platform surfaces sync status and freshness indicators to the Account. The Account is responsible for monitoring them.

8. Service availability

The Platform is provided on a best-effort basis. We do not guarantee:

  • Any specific level of uptime;
  • That any particular invoice will be generated on any particular date;
  • That any particular sync will complete within any particular time;
  • That the Platform will be free of bugs, errors, or interruptions;
  • That submetra.com or any Submetra-controlled domain will be continuously reachable.

We may schedule maintenance, upgrade or degrade features, and modify or discontinue any part of the Platform at any time.

9. Modifications to these Terms

We may update these Terms at any time. If we make a material change, we will require you to accept the new Terms before continuing to use the Platform. Continued use of the Platform after re-acceptance means you accept the updated Terms.

10. Termination

  • By you. You may stop using the Platform at any time. If you are an Account operator, you should contact us in writing to close your account.
  • By us. We may suspend or terminate your access to the Platform at any time, for any reason or no reason, with or without notice.
  • Data export on termination. Where practical, we will provide the Account a reasonable opportunity to export its data (invoices, meter intervals, rate history) before deletion. Access Electric is under no obligation to retain data indefinitely after termination.

11. Disclaimer of warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ACCESS ELECTRIC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY INVOICE PRODUCED BY THE PLATFORM WILL BE ACCURATE, LAWFUL, OR ENFORCEABLE.

Some jurisdictions do not allow the exclusion of certain warranties. If any such exclusion is held unenforceable, the remaining exclusions continue to apply to the maximum extent permitted by law.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACCESS ELECTRIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ACCESS ELECTRIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In addition, because the Platform is provided at no charge, you acknowledge that Access Electric's total cumulative liability to you, from any and all claims arising out of or related to the Platform, shall not exceed zero dollars ($0.00).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. If any such limitation is held unenforceable, Access Electric's liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Access Electric, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Platform;
  • Your violation of these Terms;
  • Your violation of any law or the rights of any third party (including any Bill-to, utility, tenant, subtenant, or regulator);
  • Any data or content you submit to the Platform;
  • Any impersonation, spoofing, or unauthorized use of any Submetra-controlled domain or any Access Electric or Submetra mark by you or by any party acting under your direction.

14. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Stanislaus County, California, and you consent to the personal jurisdiction of those courts.

15. Miscellaneous

  • Entire agreement. These Terms, together with any separately signed agreements between you and Access Electric (including any Account Billing Service Agreement or hardware installation agreement), constitute the entire agreement between you and Access Electric with respect to the Platform.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms freely.
  • Notices. Notices to Access Electric must be sent in writing to the address in Section 16. Notices to you may be sent to the email or physical address on file for your account.
